Directors have duties under the Companies Act, 2013 including abiding by the company's articles of association, acting in good faith to promote the company's interests and protect stakeholders, exercising reasonable care, skill and independent judgment in their duties, not assigning their office as this would be void, and facing fines from 100,000 to 500,000 for contravening these provisions.

8. If a director of the company contravenes the
provisions of this section such director shall
be punishable with fine which shall not be
less than one Lakh Rupees but which may
extend to five lakh Rupees
