5. 1. When more than one appointment / change is
happened within a duration of 30 days then it
can be filed in a single Form 32.
2. If an appointment and cessation of same
person is filing then different Form 32s are
required.
3. Make sure that Forms are filing in a
chronological order, that there should not have
any Form 32 pending without uploaded while
this latest one is going to upload.
4. If appointment is made before 30th June 2007,
then DIN 3 is required to be filed.

6. 5. When a Director becomes Managing Director
and vice versa, one have to file form 32 for
change in designation.
6. In Form 32, one could fill only 4 Manager (s),
Secretary (s) details and 12 Director(s),
Managing Director, Manager(s) details.
7. While the appointment of a Company
Secretary, ensure that he is not holding a
Certificate of Practice.
8. Where two or more events of same person are
going to file then separate forms are required.

8. Check whether the Articles of Association
requires any approval for cessation pursuant to
resignation. If no such provision is available, the
resignation would take effect from the date that
is given in the resignation letter.
In case of death of a Director in addition to filing
form 32 for cessation, it is also advised to get the
DIN of the Director disabled.

10. Declaration given by the Director to the Company
that he/she is not disqualified under sections
203, 274 and 388E of the Act (as optional
attachment)
For public non-government Companies consent
to act as Director.
In case of cessation-evidence of cessation
(resignation letter/board resolution) as
mandatory attachment.
Board Resolution wherever necessary.
Copy of death certificate in case of filing of Form
