Job Purpose: The Senior Attorney will advise, counsel and represent BWW in all aspects of
Franchise law and practice; build strong relationships and business partnerships; serve as point-
of-contact for franchise and marketing department transactions.

Responsibilities Include:
      Assist the General Counsel and Associate General Counsel, primarily in the areas of
      franchise law, contract and commercial law, trademark and advertising law, licensing
      law, and general civil litigation.
      Keep current on franchise matters, current trends and franchise litigation.
      Review and negotiate contracts, vendor supply agreements, and material contracts.
      Maintain current file of active contracts.
      Coordinate all franchise and compliance work, including:
            o Preparation of franchise documents and filings with state licensing agencies
            o Preparation of franchise agreements and development agreements
            o Preparation of default and termination letters
            o Work closely with Franchise Operations and Relations, COO and CFO in handling
                franchise legal issues.
      Advise and support franchise advisory councils.
      Advise Franchise Sales & Development teams.
      Assist the Marketing Department with contract or promotion review and compliance
      with a focus on trademark law, intellectual property.
      Review and advise on sweepstakes and contests.
      Assist with formation of regional marketing Cooperatives and ongoing initiatives.
      Educate and counsel company executives and employees on legal risks. Provide
      consultation to determine if legal support is needed.
      Assist the General Counsel and Associate General Counsel in managing overall legal risks
      for the company.
      Manages at least 1 direct report (Franchise Paralegal) providing guidance around
      assignments, prioritization, coaching on best practices, training, and review of work as
      needed. Ensures the successful completion of the franchise process.
      Travel: 10 %

Education/Training/Experience:

Licensed and practicing attorney, in good standing, with at least 5 to 7 years of professional
experience, as well as sufficient experience in practice areas pertinent to the company,
including:
        Solid Franchise experience is required
        Experience counseling the business on legal matters
        Foundational knowledge or stronger in trademark law and intellectual property.
        Contract renewal and analysis

Critical Dimensions:
         Proven ability to relate and to explain legal concepts to the business
         Must possess clear written and verbal communications
         Strong listening skills
         Responsive
         Thinks quickly on feet, making sound decisions
         Skilled at Negotiation
         Proven track record of successfully managing multiple priorities in a fast paced work
         environment
         Must be able to immediately handle a significant workload and effectively prioritize
         projects with a high degree of autonomy.
         Organize and write procedures in a logical/methodical manner
         Good time management skills and excellent attention to detail
         Ability to maintain confidential information
         Maintain satisfactory attendance
         Adhere to company policies, programs, and work rules
         Perform work in a timely and workmanship like manner
         Highly motivated, self-directed, and results driven
         Strong organizational skills
         Able to take direction and follow through multi-step project steps/procedures
         consistently
