An脹lan 帳irketlerin her biri i巽in infisah ve tasfiye yolu ayr脹 ayr脹 g旦sterilmi帳tir, infisah, ortakl脹klar
hukukunda iki manada kullan脹lmaktad脹r. Geni帳 manada; irade ve irade d脹帳脹 fesih hallerini ve dar manada
da; irade d脹帳脹 yani kendiliinden sona ermeyi ifade etmektedir. TTK'nun 439. maddesinde infisah eden
帳irketin tasfiyeye girecei h端kme balanm脹帳t脹r. Tasfiye s端recinde ticaret 帳irketinin alacak ve bor巽lar脹
belirlenir, alacaklar脹 tahsil edilip, bor巽lan 旦dendikten sonra varsa kalan mevcudu, esas mukavelede aksine
bir h端k端m olmad脹k巽a, pay sahipleri aras脹nda 旦dedikleri sermaye ve paylara bal脹 olan imtiyaz haklar脹
nispetinde da脹t脹l脹r, tasfiyenin sona ermesi 端zerine 帳irkete ait ticaret unvan脹n脹n sicilden terkini tasfiye

memurlar脹 taraf脹ndan sicil memurluundan talep olunur. 帳 bu talep 端zerine terkin keyfiyeti tescil ve ilan
olunmakla ticaret 帳irketinin t端zel ki帳ilii sona ermi帳 olur. Terkin i帳lemi i巽in tasfiye bilan巽osu ile birlikte
ba帳vurulduundan ve zaten tasfiye sonucu ticaret 帳irketinin herhangi bir mal varl脹脹 da kalmad脹脹ndan
tasfiye memurunun ya da 帳irket yetkilisinin Knun 44. maddesine g旦re mal beyan脹nda da bulunmas脹 s旦z
konusu olmayacakt脹r. Terkin i帳leminden sonra ticaret 帳irketinden alaca脹 bulunduunu iddia eden bir
alacakl脹, bu alaca脹n脹 ancak terkin edilen ticaret 帳irketini yasaya g旦re ihyas脹n脹 salamak suretiyle tahsil
edebilecektir.
Ticaret 帳irketlerinin vergi hukuku a巽脹s脹ndan m端kellefiyetinin sona erdirilmesi de, T端rk Ticaret
Kanunu h端k端mlerine g旦re yap脹lmas脹 gereken i帳lemlere g旦re getirilen tasfiye ve iflas脹n sona erdiinin tescil
ve ilan脹na bal脹d脹r. Ba帳ka bir anlat脹mla, ticaret 帳irketinin i帳i b脹rakmas脹 ancak t端zel ki帳iliinin ortadan
kald脹r脹lmas脹 ile m端mk端nd端r. Bu nedenle t端zel ki帳ilii sona erdirilmemi帳 bir ticaret 帳irketinin ticari
i帳letmeyi kapatt脹脹ndan, da脹tt脹脹ndan (terk ettiinden) s旦z edilemeyecektir. Nitekim Dan脹帳tay 4.
Dairesinin 2004/602 -2021 say脹l脹 karar脹nda da t端zel ki帳ilii sona erdirilmemi帳 帳irketin m端kellefiyetinin
sona erdirilemeyecei belirtilmi帳tir.
te yandan, cra ve flas Kanununun 44. maddesinin ikinci f脹kras脹, mal beyan脹n脹n ticaret sicili
gazetesinde ilan tarihinden itibaren bir sene i巽inde, ticareti terk eden tacir hakk脹nda iflas yolu ile takip
yap脹labileceini i巽ermektedir. Buradaki tacirden maksat, ger巽ek ki帳i olan tacirlerdir. Yani, t端zel ki帳i
tacirler (ticaret 帳irketleri) hakk脹nda 44 端nc端 maddenin 2. f脹kras脹n脹n uygulama kabiliyeti yoktur. Ticaret
帳irketleri, ticareti terk edince tasfiyeye gireceklerinden ve tasfiye sonunda 帳irketin ticaret sicilindeki
kayd脹n脹n silinmesinden sonra t端zel ki帳ilii son bulaca脹ndan, art脹k, ticaret 帳irketlerini sicilden silindikten
sonra iflas yolu ile takip etmeye imkan yoktur. Esasen, ticaret 帳irketleri bak脹m脹ndan buna l端zum da yoktur.

d端zenlemenin, ticareti terk su巽unun ger巽ek ki帳i tacirler i巽in ge巽erli olduunun, ticaret 帳irketleri y旦n端nden
ge巽erlilii bulunmad脹脹n脹n net olarak ifade edildii anla帳脹lmaktad脹r.
Her ne kadar K'nun 44. maddesinin gerek巽esinde, ticareti terk eden k旦t端 niyetli bor巽lular脹n
i帳yerlerini terk ederek ve ellerindeki mallar脹n脹 ba帳kalar脹na devrederek alacakl脹lar脹n脹 zarara uratmalar脹
nedeniyle K'nun 337/a maddesindeki yapt脹r脹m d端zenlendii belirtilmekte ise de, ticaret 帳irketleri
y旦n端nden ticareti terk deil ortakl脹k ili帳kisinin sona erdirilebileceinden, buradaki bor巽lu ifadesiyle ger巽ek
ki帳i tacirin kastedildiinin kabul端 zorunludur. Kald脹 ki, Kanunun 345. maddesi uyar脹nca sorumlu
tutulmas脹 gereken ticaret 帳irketlerinin m端d端r/yetkilileri taraf脹ndan alacakl脹lar脹 zarara uratmaya y旦nelik
eylemlerinin cezas脹z b脹rak脹lmad脹脹, nitekim Kanunun 331, 333/a, 345/a maddelerinde gerekli yapt脹r脹mlar
d端zenlendii gibi, unsurlar脹 bulunduu takdirde 5237 say脹l脹 T端rk Ceza Kanununda m端eyyideye balanan
hileli iflas veya doland脹r脹c脹l脹k su巽lar脹ndan da cezaland脹rabilmeleri m端mk端n olduundan, dier bir deyi帳le
ticaret 帳irketlerinin m端d端r/yetkililerinin alacakl脹y脹 zarara uratan bu t端r davran脹帳lar脹n脹n yapt脹r脹ms脹z
kald脹脹ndan s旦z edilemeyecektir.
Bu a巽脹klamalardan anla帳脹laca脹 端zere, Knun 337/a maddesinde yapt脹r脹ma balanan eylem, yaln脹zca
ticareti terk keyfiyetinin ticaret sicili memurluuna bildirilmemesi deil, bununla birlikte IIKnun 44.
maddesine uygun olarak b端t端n aktif ve pasifi ile alacakl脹lar脹n脹n isim ve adreslerinin bulunduu bir mal
beyan脹nda bulunulmamas脹d脹r. Bu durumda, T端rk Ticaret Kanununun 136. maddesinde say脹lan ticaret
帳irketlerinde ticaretin terki s旦z konusu olmay脹p, ortakl脹k ili帳kisinin sona erdirilmesi nedeniyle cra ve flas
Kanununun 44. maddesi ile getirilen mal beyan脹nda bulunma y端k端ml端l端端n端n, ger巽ek ki帳i tacirlere
y旦nelik olduu, yukar脹da say脹lan ticaret 帳irketlerini kapsamad脹脹, e帳 anlat脹mla ticaret 帳irketlerinin m端d端r
veya yetkililerinin cra ve flas Kanununun 337/a maddesinde yapt脹r脹ma balanan ticareti terk su巽unu
i帳lemeleri yasal olarak m端mk端n olmad脹脹 kabul edilmelidir. Hal b旦yle olunca san脹脹n beraati yerine
mahkumiyetine karar verilmesi isabetsiz olup, temyiz itirazlar脹 bu itibarla yerinde g旦r端ld端端nden h端km端n
istem gibi BOZULMASINA, 17.10.2011 g端n端nde oybirliiyle karar verildi.
